1. Acceptance of Terms
By accessing or using any invoice factoring, SBA 7(a) loan brokerage, or related commercial-financing services provided by maikrr loans ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.
2. Our Services
maikrr loans provides commercial financing services, including invoice factoring (the purchase of accounts receivable at a discount), SBA 7(a) loan brokerage and origination support, UCC-backed business lending, and related advisory services (collectively, the "Service"). We are not a bank. Certain loan products are originated through third-party SBA-approved lending partners.
3. Eligibility & Account
You must be at least 18 years old and authorized to act on behalf of the business you register. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
4. Fees, Rates & Repayment
Pricing for factoring advances, loan products, and related services will be disclosed in writing in your funding agreement, factoring agreement, or commitment letter prior to closing. Unless stated otherwise:
- Factoring fees, advance rates, and reserves are governed by your factoring agreement.
- SBA 7(a) loan rates, fees, and terms are governed by SBA program rules and your lender's note and security agreement.
- You authorize us and our funding partners to debit your authorized payment method or designated business account for scheduled amounts due.
5. Your Data & Responsibilities
You retain ownership of the business, financial, and customer data you submit to us. You are responsible for:
- Providing accurate, lawful information in your application and underwriting materials.
- Complying with all applicable financial, privacy, consumer-protection, and communications laws.
- The validity, enforceability, and accuracy of any invoices submitted for factoring.
6. Third-Party Services
The Service may integrate with or rely on third-party banking, payment, accounting, credit-bureau, or messaging providers, as well as independent SBA-approved lenders. Those services are governed by their own terms and privacy policies. We are not responsible for downtime, errors, or losses caused by third-party services.
7. No Professional or Financial Advice
Information provided through the Service is for general informational purposes only and does not constitute accounting, legal, tax, or financial advice. You should consult qualified professionals before making business or financial decisions.
8. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure, nor do we guarantee approval of any factoring advance or loan application.
9. Limitation of Liability
To the maximum extent permitted by law, in no event will maikrr loans be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service.
Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the six (6) months preceding the event giving rise to the claim.
10. Termination
You may stop using the Service at any time, subject to outstanding repayment obligations under any signed factoring or loan agreement. We may suspend or terminate your access if you breach these Terms, misuse the Service, or if required by law. Sections that by their nature should survive termination (including payment obligations, limitations of liability, and dispute terms) will survive.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to the jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
13. SMS Communications
By opting in to receive SMS messages from maikrr loans, you agree to receive account updates, payment reminders, service notifications, and support-related communications. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP. Reply HELP for assistance. We do not sell or share your mobile number for marketing purposes.
